End User License Agreement

This End User License Agreement (“Agreement”) is between you and Mykhailo Onikiienko, a sole proprietor in British Columbia, Canada, who develops and sells the Zmina application (“Zmina” or “the app”). It governs your purchase and use of the app. By buying or using Zmina, including during the free trial, you agree to these terms. If you do not agree, do not install or use the app.
Who we are

How you buy Zmina
You buy Zmina through Kelviq, Inc. (“Kelviq”), our payment provider and Merchant of Record. Kelviq is the seller of record for your purchase: it processes your payment, charges and remits any applicable taxes, issues your receipt, and provides a customer portal for receipts and self-service. We license the software to you under this Agreement. The purchase and the license are two parts of the same transaction, and both apply.
Who can buy
To buy a license you must be old enough to enter a binding contract where you live (the age of majority in your jurisdiction), or have the consent of a parent or guardian who agrees to these terms on your behalf.
Your license
When you buy Zmina, we grant you a personal, non-exclusive, non-transferable license to install and use the app. You may:
- Install and use Zmina on as many devices as you personally control
- Use it for personal projects or for your work
The license is per person. One license covers one individual. A team buys one license for each person who uses the app. Your email address is embedded in your license and shown in the app’s settings; please keep your license file to yourself.
A license that does not expire
Your license is perpetual. It does not expire. It includes all future updates we release, at no additional cost, with no version cut-off. That includes new platforms: when Zmina ships for another operating system, your license covers it on any mix of your own devices, at no extra charge. We will not retroactively turn your license into a subscription, and we will not charge you for updates to a version you already own. If we ever offer a subscription, it will apply only to new customers; your license stays exactly as it is.
Add-ons are the one exception, and they are always optional and clearly separate. See “Add-ons” below.
How updates reach you
Zmina keeps itself up to date. By default the app checks releases.zmina.app for new versions and security advisories, downloads a new version when one is available, and installs it the next time you quit. You can switch this to manual, or turn update checks off entirely, in the app’s settings at any time.
Updates are covered by this Agreement, and they are free, as described above. An update may change, improve, or remove parts of the app; we will not use an update to reduce the rights this Agreement gives your license. What these requests contain, and what they do not, is described in our privacy policy at zmina.app/privacy.
Free trial
Zmina includes a 14-day, full-featured free trial before you buy. The trial is provided as is, with no obligation to purchase. During the trial, we grant you the same license described above, on a temporary basis for the trial period. We may change the trial’s terms or length for future users; doing so never affects a trial already underway or a license you have already bought.
Refunds
We offer a 14-day, no-questions-asked refund. If you are not happy within 14 days of your purchase, contact us or use Kelviq’s customer portal, and we will refund you. Refunds are processed by Kelviq.
When you receive a refund, your license ends. You agree to stop using Zmina and to delete your license file. In this version of the app there is no technical enforcement of this; we are trusting you, the same way the rest of the app trusts you.
Nothing here limits any statutory refund or cancellation right you have under the consumer law of your country, including, where it applies, the EU and UK right of withdrawal for digital purchases. Our 14-day guarantee is offered on top of those rights.
Licensed by trust
Zmina is licensed by trust. Your license file stays on your machine and validates instantly and offline. There is no activation server and no account, and checking your license needs no network connection.
Your license is for you. Sharing it, or your license file, with other people is a breach of this Agreement. We are asking you, plainly, not to share.
When a license can end
We may revoke a license that was obtained through fraud, a chargeback, or abuse of our refund policy. We will not revoke a license that was bought and used in good faith.
Add-ons
After v1, we may sell optional add-ons (for example image tools or local AI features) as separate products. Each add-on is a separate purchase. Unless stated otherwise at the time, add-ons are covered by this Agreement. Add-ons are always optional; the core app you bought is complete on its own.
Open-source components
Zmina includes open-source software components, each under its own license. The full list, with every license text, ships inside the app (Settings, About, Open-source licenses). Where such a license grants you rights this Agreement does not, that license governs for that component.
What you may not do
You may not:
- Sell, rent, sublicense, or redistribute Zmina or your license
- Remove or alter the embedded email address, or strip this Agreement or the open-source license notices from the app
- Work around the trial period to avoid buying a license
- Reverse engineer the app, except to the limited extent the law expressly allows despite this restriction
- Use Zmina for anything unlawful
No warranty
Zmina is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You use the app at your own risk.
Limit of liability
To the fullest extent permitted by law, our total liability arising out of or relating to Zmina is limited to the amount you paid for your license. We are not liable for indirect, incidental, special, or consequential damages, or for any loss of data, profit, or revenue.
Your consumer rights
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Nothing in this Agreement removes rights that the law of your country or province gives you and that cannot be waived, including mandatory consumer protection rights in British Columbia, Canada, the EU, and the UK. Where such a right applies, the disclaimers and limits above apply only to the extent the law allows.
Governing law
This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there. Disputes are subject to the non-exclusive jurisdiction of the courts of British Columbia. If you are a consumer resident elsewhere, the mandatory consumer protection laws of your jurisdiction may also apply.
Severability
If any part of this Agreement is unenforceable, the rest stays in effect, and the unenforceable part applies to the maximum extent the law allows.
Transfer of this Agreement
We may transfer this Agreement to a successor, for example if Zmina is incorporated, sold, or merged. Your license and its terms carry over unchanged.
Changes to this Agreement
We may update this Agreement for future purchases. The version that applies to you is the one in effect when you bought your license; we will not apply later terms that reduce the rights of a license you already hold. Updated terms take effect for purchases made after we post them, with a new effective date.
